At a time when the world is reeling under unforeseen economic crisis and uncertainty, Independent Directors will have to ensure that public stake in the company that they represent is protected while the company itself takes measures to ensure seamless continuity. Companies are also looking at bringing in board independent directors who have dealt with crises/ unprecedented situations in the past and who can also challenge conventional thinking.
The Ministry of Corporate Affairs (MCA), under the Government of India in October 2019 notified the Companies (Creation and Maintenance of databank of Independent Directors) Rules, 2019, and authorised the Indian Institute of Corporate Affairs (IICA) for the creation and maintenance of the online databank containing details of existing Independent Directors, also those of persons eligible and willing to act as Independent Directors.
IOD being the only and largest ‘not for profit’ membership-based association of Corporate Directors in India understands the need and pulse of corporate boardrooms, engages with Board leaders from a cross section of industries and geographies, through various verticals including thought leadership, networking, training, awards, research, advisory and evaluation.
Considering the above and the climate across Boardrooms today, the Institute of Directors, India (IOD) and the IICA under the Ministry of Corporate Affairs, Govt. of India are jointly hosting a series of special Virtual Sessions - the ‘Independent Directors’ Dialogue Series’ over the next 6 months to sensitise the Role of IDs and their effectiveness amid pandemic.
