Director's Dialogue Series 2022 Theme: ESG Strategy for the Board: Turning Rhetoric into Reality in a VUCA World, New Delhi

Environmental, Social and Governance (ESG) issues are of importance for businesses globally as the legal and regulatory landscape changes and ESG expectations of investors, customers, employees and other stakeholders grow. Now more than ever, investors are incorporating ESG criteria into their investment assessments and valuation decisions, and perceive companies with strong sustainability programs one of the indicators of sound and reliable performance going forward.

ESG and its reporting has come into its own as a discipline, with top companies now issuing BRSR reports. What’s the role of the board’s and executive team’s in ensuring that these activities are responsive to investor needs?

Many boards of directors are considering their approaches to environmental, societal and governance (ESG) topics and, more particularly, how ESG can contribute to the long-term success of their businesses. Such introspection is partly in reaction to demands from shareholders and other stakeholders.

Boards should consider taking responsibility for ESG, set up and follow an oversight protocol, influence behaviours through compensation, and report with caution.

IOD GLOBAL VIRTUAL SESSION | Directors' Dialogue Series – 5th Edition, Virtual

In a rapidly evolving digital world, the past pandemic year saw many significant evolutions in innovations and birth of new business models. It also witness how top global companies married ESG and leadership development initiatives, to build exceptional leadership capabilities while transforming communities and building a more sustainable future for all. As ESG moves up to the top of the Board agenda, it is also important for Boards to focus on the governance structure they will put in place to oversee ESG.

To deliberate in depth on the ESG Strategy for Future Boards, Institute of Directors, India is organising a special Global Webinar on Wednesday, 23rd February, 2022. The main theme is: ‘ESG Strategy for the Board: Turning Rhetoric into Reality in a VUCA World’. ENRON is a classic case. McKinsey & Company have observed in their survey that assembling an all-star team is no guarantee for attaining business excellence. Experts have observed that in such an environment decisions are made quickly without any consideration of alternatives. The probable pitfalls can be: illusion of invulnerability, white wash of critical thinking, negative stereo types of outsiders, and bypassing organizational bureaucratic channels. This very often creates dissensions in the organisation and road blocks are raised affecting performance.

Participants emphasized that a Board's social responsibility perspective should embrace assurance and corporate governance arrangement, management and project management practices and where possible, a company's supply and value chains. Social responsibility should be related to social needs and actions and should have visible impact on the society. All corporate activities should be socially responsible so that they can help build a closer relationship between business and society. Directors should agree as a collective view of what represents corporate citizenship and ensure it is aligned with corporate aspirations, objectives, priorities, values and conduct. More attention should be given to social entrepreneurship, i.e. the conversion of social needs into business opportunities. Use of CSR domain should focus on their people and capabilities to try more socially responsible approaches, practices and business models to build bridges with excluded communities and to help develop future leaders. Such an approach will result in a company to engage younger generation, address social issues, turn a corporate purpose into a cause and build a more caring image and a more valuable planning. The leading industries who received the Golden Peacock Award for CSR presented a panorama of their services to the society and the impact they made on promoting development of soft and hard skills, and social entrepreneurship leading to more inclusive economic growth.
