These Terms & Conditions (“Terms”) govern your use of the services, programs, memberships, publications, events, and digital platforms provided by the Institute of Directors, India (“IOD”, “we”, “us”, or “our”). By engaging with IOD’s services, you (“Member”, “Participant”, “User”, or “Attendee”) agree to comply with these Terms.

1. Membership

• Membership is subject to eligibility, application, and approval by IOD.
• Membership fees, once paid, are non-refundable and non-transferable.
• Members are expected to maintain professional conduct aligned with IOD’s values.
• IOD reserves the right to withdraw or suspend membership in cases of non-compliance of IOD Rules and Regulations as per MOA.

2. Events, Conferences & Training Programs

• Registration is confirmed only upon receipt of full payment.
• Cancellation requests must be made in writing. Refunds, if applicable, will be as per IOD’s cancellation policy.
• IOD reserves the right to reschedule, modify, or cancel any event, training, or session.
• Event materials, presentations, and recordings are provided for educational purposes only and must not be reproduced without permission.

3. Publications & Research

• IOD publishes journals, handbooks, reports, and digital content.
• All intellectual property rights in these materials remain with IOD.
• Users may access publications for personal and professional use only. Commercial use, distribution, or reproduction without written consent is strictly prohibited and against the law.
• IOD reserves its right to initiate legal proceedings against anyone who infringes its Intellectual Property Rights.

4. Digital Services & Website

• Access to IOD’s website, portals, or online services requires compliance with these Terms.
• Users are responsible for maintaining confidentiality of login details.
• IOD is not responsible for disruptions caused by third-party service providers or internet issues.
• Unauthorised access, data scraping, or misuse of website content is prohibited.

5. Payments & Billing

• All payments must be made through approved payment channels.
• Applicable taxes, including GST, will be levied as per Indian law.
• In case of transaction failure, users must contact IOD immediately, with valid proof.
• IOD is not liable for delays or losses due to banking or payment gateway issues.

6. Data Privacy & Confidentiality

• IOD collects and processes personal data in compliance with applicable data protection laws.
• User information will not be shared with third parties without consent, except where required by law.
• IOD implements reasonable measures for safeguarding data, but cannot guarantee complete security against cyber threats.

7. Code of Conduct

• Members, participants, and users are expected to act with integrity, respect, and professionalism.
• Any misconduct, harassment, or misuse of IOD services may result in suspension or termination of access.

8. Limitation of Liability

• IOD endeavours to provide accurate and updated information, but does not guarantee completeness or error-free services.
• IOD will not be liable for any indirect, incidental, or consequential damages arising from use of its services.

9. Amendments

• IOD reserves the right to modify these Terms & Conditions at any time.
• Updated Terms will be published on the official IOD website and shall be effective immediately upon posting.

10. Governing Law & Jurisdiction

• These Terms shall be governed by and interpreted in accordance with the laws of India.
• Any disputes shall be subject to mediation process as per the Mediation Act, 2023, and if no resolution is sought, then the dispute will be dealt under the exclusive jurisdiction of the courts in New Delhi, India.
